Please read these Terms of Service ("Terms") carefully before using the biostarorganix.com website and services operated by Biostar Organix Healthcare Association, PMMA ("Biostar Organix," "we," "us," or "our"), an unincorporated association.

By accessing or using our website and services, you agree to be bound by these Terms. If you do not agree, do not use our website or services.

1. SERVICES

Biostar Organix offers the Maintenance Care Program (MCP), designed to support practitioners at every level of their practice. Our service tiers include the RAR discount program for pay-as-you-go support as well as comprehensive professional partnerships. Each tier provides tools, support, and resources to help practitioners deliver exceptional care to their clients.

2. ELIGIBILITY

You must be at least 18 years of age and a qualified health or wellness practitioner (or authorized representative of a practice) to register for and use our services. By using our services, you represent and warrant that you meet these requirements.

3. ACCOUNT REGISTRATION

To access certain features of our services, you may be required to create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Keep your password confidential and not share it with third parties
• Notify us immediately of any unauthorized use of your account

You are responsible for all activity that occurs under your account.

4. MAINTENANCE CARE PROGRAM (MCP)

4.1 Membership Tiers. The MCP offers multiple membership tiers, each with specific benefits, pricing, and terms. Details of each tier are provided on our website and may be updated from time to time.

4.2 Fees and Payment. Membership fees are as stated on our website at the time of purchase or renewal. All fees are in U.S. dollars unless otherwise noted. Payment is due at the time of enrollment or renewal. We reserve the right to change pricing with 30 days' notice.

4.3 Cancellation and Refunds. Cancellation policies vary by membership tier and are described at the time of enrollment. Unless otherwise stated, memberships may be canceled by contacting us at info@biostarorganix.com. Refunds, if applicable, will be processed in accordance with the specific tier's terms.

4.4 No Medical Advice. The tools, resources, and information provided through the MCP are intended to support practitioner operations and education. Nothing provided through our services constitutes medical advice, diagnosis, or treatment. Practitioners are solely responsible for the care they provide to their clients.

5. ACCEPTABLE USE

You agree not to:

• Use our services for any unlawful purpose
• Attempt to gain unauthorized access to our systems or other users' accounts
• Interfere with or disrupt the integrity or performance of our services
• Upload or transmit viruses, malware, or other harmful code
• Reproduce, duplicate, copy, sell, or resell any portion of our services without our express written permission
• Misrepresent your identity, credentials, or affiliation with any person or entity
• Use our services to send unsolicited communications (spam)

6. INTELLECTUAL PROPERTY

All content on our website, including text, graphics, logos, images, software, and other materials, is the property of Biostar Organix or its licensors and is protected by copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, modify, or create derivative works from any content without our prior written consent.

Trademarks. "Biostar Organix," the Biostar Organix logo, and all related names, logos, and slogans are trademarks of Biostar Organix Healthcare Association, PMMA. You may not use these trademarks without our prior written permission.

7. THIRD-PARTY LINKS AND SERVICES

Our website may contain links to third-party websites or services that are not owned or controlled by Biostar Organix. We have no control over and assume no responsibility for the content, privacy policies, or practices of any third-party websites or services.

8. DISCLAIMER OF WARRANTIES

Our services are provided on an "as is" and "as available" basis without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that our services will be uninterrupted, error-free, or secure.

9. LIMITATION OF LIABILITY

To the maximum extent permitted by applicable law, Biostar Organix and its officers, members, employees, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation loss of profits, data, use, goodwill, or other intangible losses, resulting from:

• Your access to or use of (or inability to access or use) our services
• Any conduct or content of any third party on our services
• Any content obtained from our services
• Unauthorized access, use, or alteration of your transmissions or content

Our total liability shall not exceed the amount you have paid to us in the twelve (12) months preceding the event giving rise to the claim.

10. INDEMNIFICATION

You agree to defend, indemnify, and hold harmless Biostar Organix and its officers, members, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with your access to or use of our services, your violation of these Terms, or your violation of any third-party rights.

11. GOVERNING LAW AND DISPUTE RESOLUTION

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions. Any dispute arising from or relating to these Terms or our services shall be resolved through binding arbitration in Los Angeles County, California, in accordance with the rules of the American Arbitration Association. You waive any right to participate in a class action lawsuit or class-wide arbitration.

12. TERMINATION

We may terminate or suspend your account and access to our services immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use our services will immediately cease. Provisions of these Terms that by their nature should survive termination shall survive.

13. SEVERABILITY

If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law, and the remaining provisions will continue in full force and effect.

14. WAIVER

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. The waiver of any such right or provision will be effective only if in writing and signed by an authorized representative of Biostar Organix.

15. ENTIRE AGREEMENT

These Terms constitute the entire agreement between you and Biostar Organix regarding our services and supersede any prior agreements.

16. CHANGES TO TERMS

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our website and updating the "Last Updated" date. Your continued use of our services after such changes constitutes acceptance of the updated Terms.
